In the UK, PwC has four lines of service (Assurance, Consulting, Deals and Tax) and turnover of more than £3 billion. The UK Office of the General Counsel (OGC) has 30 lawyers and provides PwC with legal and commercial advice in three main areas: Litigation, Counselling/Contracting and Corporate Transactions.
The commercial and corporate teams work across the whole UK business dealing with contracts in all of our lines of services handling a wide range of challenging and significant contracts, acquisitions and alliances. Many of our contracts have an international aspect, and our expertise is also drawn upon by other firms within the PwC network across Europe, the Middle East and Africa. It is a multi-disciplinary team comprising 14 lawyers and 1 paralegal.
Due to increasing demand we are looking to expand our in-house Counselling/Contracting team by adding another lawyer (at least 5 PQE), ideally with some exposure to Corporate work during their training contract or subsequently.
The work is demanding, the deals are varied, and no day will be the same. You will be able to assimilate information quickly, get to the heart of a deal and advise the business on the legal, commercial and reputational issues that arise. You will work closely with our delivery teams, you will have direct access to our clients and their legal team and will act very much as the face of PwC in collaboration with partners and directors across the frim. The existing team is highly valued by the business and we are very much seen as business enablers.
You will have a relevant experience in providing legal advice, either within an in-house environment or within law firms working with clients in the commercial and contracting space, and ideally will also have some working knowledge of corporate transactions. You will also have excellent communication skills, the ability to build strong relationships and the capability to influence negotiations in an innovative business environment.
This role may be suitable for an applicant wishing to be based in Central London or our new offices in Birmingham.

The need for an additional member of the legal team arises due the ever increasing needs of the business as a result of our firm’s strategic priorities across Deals, Government and Public, Technology and Cyber Security.
The role would be specifically to:
Advise on and negotiate a wide range of contracts with our clients or to establish joint business relationships for the delivery of PwC’s products and services
Advise on alliance agreements – experience with agreements with technology partners, including reseller, OEM and subcontracting arrangements would be an advantage.
Advise on the intellectual property and data protection aspects of any given deal.
Advise on complex consulting engagements where PwC may be acting as prime contractor or subcontractor or part of a consortium delivering services to a client.
Advise on post-contract matters to protect PwC’s commercial and legal position.
Become a trusted adviser to business leaders and proactively take the time to meet with and understand the nature of the work we do by spending time in the practice alongside client facing teams.
Create new precedent agreements and guidance notes for use throughout PwC’s business.
Work in collaboration with the wider PwC network as required on cross border deals including Global Framework Agreements and Master Services Agreements
Advise on acquisitions, new business set ups, deal structures and joint ventures.
Consult with and work closely as part of the in-house legal team

What are the role requirements?
Detailed knowledge of English Law, at least 5+ years PQE (or equivalent)
Worked in-house for a company, or if in a law firm you will have worked with clients in the commercial or corporate sectors
Proven track record in negotiating deals for consulting services projects, and the development, licensing and other forms of commercial exploitation of IP
Working knowledge of data protection and the forthcoming challenges of GDPR would be an advantage
Ability to handle complex negotiations using sound judgment to ensure that the firm’s best interests are served
Ability to gain a full appreciation of the wider reputational, commercial and business aspects of each deal
Ability to tailor advice to the specific needs of the business and apply common sense and practical solutions in a fast moving environment with new challenges arising every day
Ability to adapt, to change and to be open minded and innovative
Strong drafting skills and the ability to flex communication style to suit a particular situation
Sound judgment and well developed influencing skills, together with the confidence to work with senior management across the business
An ability to build strong relationships and become a trusted advisor to the business
